Ultra Suite licence

The agreement that comes with the desktop app.

IMPORTANT: READ THIS LICENSE AGREEMENT CAREFULLY BEFORE USING THIS SOFTWARE.

1. Grant of License

Lisan AI - FZE ("Licensor") grants you a limited, non-exclusive, non-transferable, revocable license to use Ultra Suite ("Software") solely for your personal or internal business purposes, subject to the terms and conditions of this Agreement.

2. Restrictions

You may NOT:

  • Copy, modify, adapt, translate, or create derivative works of the Software or any part thereof;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
  • Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software or any rights therein to any third party;
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
  • Use the Software to develop a competing product or service;
  • Use the Software in any manner that violates applicable laws or regulations.

3. Intellectual Property

The Software and all copies thereof are proprietary to Lisan AI - FZE and title thereto remains in Lisan AI - FZE. The Software is copyrighted and is protected by United Arab Emirates copyright laws and international treaty provisions. You will not take any action that jeopardizes Lisan AI - FZE's proprietary rights or acquire any right in the Software, except the limited use rights specified herein.

4. Confidentiality

The Software contains trade secrets and proprietary know-how that belong to Lisan AI - FZE and is being made available to you in strict confidence. Any use or disclosure of the Software, or of its algorithms, protocols, or interfaces, other than in strict accordance with this Agreement, may be actionable as a violation of trade secret rights.

5. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL LISAN AI - FZE BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

6. Limitation of Liability

IN NO EVENT SHALL LISAN AI - FZE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE. IN NO EVENT SHALL LISAN AI - FZE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.

7. Termination

This license is effective until terminated. It will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must destroy all copies of the Software in your possession.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and Lisan AI - FZE regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
